Continued use of the TranscribeFiles.net website or continued contracting, purchasing, or ordering of TranscribeFiles.net services constitutes acknowledgment and acceptance of these terms and conditions as modified, amended, altered, changed, rewritten, or revoked.

1) Services Provided

TranscribeFiles.net exclusively provides video and audio transcription in multiple languages, timestamping, and in some cases, translation of the transcript. These services apply solely to the audio content as described in the service descriptions throughout the TranscribeFiles.net website. We do not transcribe music in any way. If submitted files contain non-audio content, only the audio content will be transcribed. In some cases we may use any additionally provided materials such as images, documents, or URLs as additional information that could be used to ensure we follow your requirements and deliver the quality you need.

TranscribeFiles.net offers specific options for your files, which include multiple languages, multiple speakers, full/clean verbatim, and timestamping. You can choose these options at an additional cost while placing the order.

The delivery time for your order depends on the turnaround option you select. The default turnaround is “Standard (2-3 business days).” You can also choose “Urgent (1 business day)” and “Relaxed (4-7 business days).” The final order price will vary depending which option you choose.

2) Accuracy of Customer Information

The customer is responsible for providing true and accurate personal identification and payment information, including but not limited to name, email address, phone number and credit card or PayPal information. Failure to provide correct and accurate information may result in TranscribeFiles.net refusing to provide service, interrupting service, or terminating service. The customer assumes all responsibility for problems, errors, issues, delays, refusal of service, interruptions of service, and termination of service as well as full legal liability arising as a direct result of providing false or inaccurate information.

3) Financial Fraud or Theft

TranscribeFiles.net is not liable or responsible for the fraudulent use of credit cards or any other payment method used to purchase its services. TranscribeFiles.net is not liable or responsible for any fraud or misrepresentation by the customer related to the contracting, purchasing, or ordering of services.

4) Account Membership

The customer assumes all responsibility for any activity that occurs under the customer’s TranscribeFiles.net account or password. The customer is responsible for maintaining the confidentiality of the customer’s password, which is made available by TranscribeFiles.net exclusively to the customer (see our Privacy page). Any order placed by a user logged in to the customer’s account is the full responsibility of the customer subject to all the terms and conditions set forth on this page.

5) Business Name and Website Content: Ownership, Copyrights, Trademarks, Service Marks, and Use

The business name, “TranscribeFiles.net,” and all content on the TranscribeFiles.net website, TranscribeFiles.net, is the sole property of TranscribeFiles.net. Such content includes but is not limited to text, service descriptions, policies, prices, photographs, images, illustrations, logos, icons, display modules, audio and video, html, XML, software, trademarks, and any other representations, depictions, and explanatory aids appearing on any page, popup, tab, or other display on the TranscribeFiles.net website. “Customer content” is defined to include (i) all materials submitted by the customer to TranscribeFiles.net for service; (ii) any additional supporting materials provided by the customer to TranscribeFiles.net; (iii) all materials transcribed, edited, or otherwise serviced by TranscribeFiles.net for the customer; that is, drafts of these materials produced or altered by TranscribeFiles.net as a product or outcome of service; and (iv) feedback provided by the customer to TranscribeFiles.net on the customer’s My Account page or by any other means.

All copyrights, intellectual property rights, ownership, and control over customer content are retained solely by the copyright holder, intellectual property rights bearer, owner, or controller of the original materials submitted to TranscribeFiles.net. (This may be the author or authors, the author’s employer, the publisher, a purchaser of the content, or some other entity.) TranscribeFiles.net will not share, sell, distribute, reproduce, publish, or transmit any customer content without the express, written consent of the customer. All customer content is kept strictly confidential by TranscribeFiles.net. See our Privacy page for more details.

TranscribeFiles.net expressly prohibits the association of TranscribeFiles.net or any TranscribeFiles.net trademark, editor, staff member, or affiliate with the viewpoints expressed or content contained in any serviced material submitted or presented to any recipient or audience for any purpose whatsoever.

7) Responsibility for Customer Content

The customer assumes all responsibility and legal liability for customer content. This includes all responsibility and legal liability for offenses such as copyright infringement; plagiarism; and making statements that are false, misleading, defamatory, libelous, offensive, threatening, prohibited, fraudulent, or in violation of any law. It is not the obligation or the policy of TranscribeFiles.net to investigate or to make a determination as to whether the customer has, or could, commit any of these offenses by means of the customer’s content. The customer is solely responsible for making such a determination. TranscribeFiles.net reserves the right to refuse or terminate service if we have any question, doubt, or concern–however well or poorly justified–that the customer risks committing any of these offenses by means of the customer’s content.

The customer represents and warrants that the customer owns or otherwise controls all rights to submitted materials and that submitted materials do not contain statements that are false, misleading, defamatory, libelous, offensive, threatening, prohibited, or in violation of any law.

The customer is responsible for reviewing all transcripts that TranscribeFiles.net delivers to the customer. If required, TranscribeFiles.net may include the timestamping, quotes, comments, or any other changes, which enables the customer to easily check the transcript. The customer’s responsibility to review all changes constitutes (i) an acceptance of all changes and (ii) an acceptance and acknowledgement that TranscribeFiles.net is not responsible or legally liable for the customer’s content, including the finished transcript that has been serviced by TranscribeFiles.net.

8) Service Content: Definition, Ownership, Copyrights, and Use

“Service content” is defined to include (i) all timestamping, markups, comments, and translations provided by TranscribeFiles.net and (ii) any other written or verbal communications provided by TranscribeFiles.net staff or transcribers in the course of providing service, which may pertain to submitted materials, transcription techniques, or transcription in general.

All service content remains the intellectual property of TranscribeFiles.net. All copyrights for all TranscribeFiles.net service content belong to TranscribeFiles.net. Service content provided by TranscribeFiles.net to the customer is only licensed to the customer for the customer’s own private use or for private, internal use by business and institutional customers.

9) INDEMNIFICATION

BY CONTRACTING, PURCHASING, OR ORDERING TRANSCRIBEFILES.NET SERVICES, THE CUSTOMER HEREBY HOLDS HARMLESS AND INDEMNIFIES TRANSCRIBEFILES.NET FROM ALL COSTS, EXPENSES, AND ATTORNEY FEES ARISING FROM OR ASSOCIATED WITH TRANSCRIBEFILES.NET FROM ANY DEMAND, CLAIM, OR LEGAL ACTION TAKEN BY ANYONE IN RESPONSE TO (I) CUSTOMER FINANCIAL FRAUD OR THEFT, (II) CUSTOMER CONTENT, BOTH SUBMITTED AND SERVICED MATERIAL, OR (III) ANY VIOLATION BY THE CUSTOMER OF THE TERMS AND CONDITIONS SET FORTH ON THIS PAGE. FURTHER, THE CUSTOMER HEREBY HOLDS HARMLESS AND INDEMNIFIES TRANSCRIBEFILES.NET AND ANYONE ASSOCIATED WITH TRANSCRIBEFILES.NET FROM (IV) ANY OTHER DEMAND, CLAIM, OR LEGAL ACTION ARISING FROM USE OF THE TRANSCRIBEFILES.NET WEBSITE OR THE CONTRACTING, PURCHASING, OR ORDERING OF TRANSCRIBEFILES.NET SERVICES.

THE CUSTOMER WILL BE WHOLLY RESPONSIBLE FOR ALL REASONABLE ATTORNEY FEES, COURT COSTS, AND ANY OTHER COSTS TO TRANSCRIBEFILES.NET OR ANYONE ASSOCIATED WITH TRANSCRIBEFILES.NET ARISING FROM CLAIMS AGAINST THE CUSTOMER BASED ON (I) FINANCIAL FRAUD OR THEFT, (II) CUSTOMER CONTENT, SUCH AS THE OFFENSES LISTED IN SECTION 7, “RESPONSIBILITY FOR CUSTOMER CONTENT”, (III) ANY VIOLATION OF THE TERMS AND CONDITIONS SET FORTH ON THIS PAGE, (IV) FAILURE TO FULFILL ANY OBLIGATION RELATING TO THE CUSTOMER’S ACCOUNT OR ORDERS PLACED UNDER THE CUSTOMER’S ACCOUNT, OR (V) FROM ANY OTHER DEMAND, CLAIM, OR LEGAL ACTION ARISING FROM USE OF THE TRANSCRIBEFILES.NET WEBSITE OR THE CONTRACTING, PURCHASING, OR ORDERING OF TRANSCRIBEFILES.NET SERVICES. TRANSCRIBEFILES.NET RESERVES THE RIGHT TO TAKE OVER THE EXCLUSIVE DEFENSE OF ANY CLAIM FOR WHICH WE ARE ENTITLED TO INDEMNIFICATION. IN SUCH AN EVENT, THE CUSTOMER WILL PROVIDE TRANSCRIBEFILES.NET WITH ALL COOPERATION THAT IS REASONABLY REQUESTED BY US.

10) Disclaimer of Warranties

TranscribeFiles.net gives no assurance, guarantee, or warranty that service descriptions or any other content of the TranscribeFiles.net website, services performed, or service content are accurate, complete, reliable, current, or error free. The TranscribeFiles.net website and TranscribeFiles.net services are provided on an “as is” and “as available” basis and at the customer’s sole risk. To the fullest extent permissible by applicable law, TranscribeFiles.net disclaims all warranties and conditions express or implied, with respect to any information, content, or materials on the TranscribeFiles.net website, produced by TranscribeFiles.net services or contained in TranscribeFiles.net service content, including any implied warranties or conditions of fitness for a particular purpose, merchantability, or non-infringement.

These estimates are made without TranscribeFiles.net having had the opportunity to review the customer’s order. TranscribeFiles.net does not guarantee or warrant the accuracy or reliability of these estimates. TranscribeFiles.net disclaims all liabilities and warranties express or implied with respect to these turnaround times and dates.

11) Liquidated Damages Provision

The customer acknowledges and accepts that all remedies for all claims against TranscribeFiles.net shall be limited in total to the amount paid by the customer for the TranscribeFiles.net service order about which claims are made. In no event is TranscribeFiles.net liable for damages in excess of the amount paid by the customer for the order in question.

12) Limitation of Liability

In no event is TranscribeFiles.net or anyone associated with TranscribeFiles.net liable for any damages whatsoever in any way related to (i) TranscribeFiles.net services, (ii) use of the TranscribeFiles.net website or its content, or (iii) any inability to access the TranscribeFiles.net website or its content, including the customer’s Account page. Such damages include but are not limited to any direct, incidental, indirect, consequential, special, punitive, or exemplary damages of any kind; lost revenues; lost profits; lost business; business interruption; harm to business reputation; poor grades; poor evaluations; poor reviews; harm to professional reputation or career; breach of confidentiality; or any other damages, whether based on warranty, contract, tort, negligence, strict liability, operation of law, or any legal theory, whether or not TranscribeFiles.net is advised in advance of the potential for such damages.

In no event is TranscribeFiles.net or anyone associated with TranscribeFiles.net liable in full or in part for any censure, sanctions, fines, penalties, or punitive actions of any kind arising from objections, charges, or complaints, legal or otherwise, about customer content, including material serviced by TranscribeFiles.net, or that are in any way related to TranscribeFiles.net services or the TranscribeFiles.net website. If, for any reason, the customer is obligated not to use an editing service or “outside help” on materials serviced by TranscribeFiles.net, TranscribeFiles.net is not liable or responsible for any censure, sanctions, fines, penalties, punitive actions, damage to reputation, or undesirable consequences of any kind arising from the customer’s violation of this obligation.

TranscribeFiles.net is not liable for any claim, loss, or injury based on any errors, omissions, or other inaccuracies in TranscribeFiles.net website content or service content or mistakes or errors in TranscribeFiles.net services.

13) Terms and Conditions as the Basis of Our Agreement

TranscribeFiles.net has allowed its website to be publicly accessible, including all content, relying on the limitations of liability and disclaimers of warranties and damages set forth in these terms and conditions. These terms and conditions form the fundamental and essential basis of the agreement between TranscribeFiles.net and the customer. If the customer is dissatisfied with any TranscribeFiles.net performance, material, term, or condition, the sole and exclusive remedy available to the customer is to discontinue use of TranscribeFiles.net services.

14) Technical Disclaimer and Limitation of Liability

TranscribeFiles.net reserves the right to terminate website access and all service to any customer in the event that a virus or other harmful software or data is suspected to be contained in the customer’s submitted material or is otherwise transmitted by the customer to TranscribeFiles.net or to our website. If a refund is issued, it may be subject to fees including but not limited to bank and transfer fees, TranscribeFiles.net processing fees, payment processor fees, administration fees, editor costs, and overhead costs. If it is determined that the customer did, in fact, transmit a virus or harmful software or data to TranscribeFiles.net, other appropriate remedies may be pursued to the fullest extent allowed by law including for damages to TranscribeFiles.net and for costs to remove the harmful items and repair the harm done, including to our customers.

TranscribeFiles.net is not liable or responsible for any damage to computer or network hardware or software, or any other damages, resulting from the transmission of a computer virus or other harmful software or data from the TranscribeFiles.net website or from any interaction with TranscribeFiles.net. TranscribeFiles.net is not liable or responsible for any problems, errors, issues, delays, or interruptions of service due to technical problems including problems with file transfer, problems opening or printing files, or any inability or failure on the part of the customer to understand or properly use email or the TranscribeFiles.net website or any of its features.

15) Quality of Service

TranscribeFiles.net strives for perfection. We cannot, however, guarantee that transcripts will always be “perfect” or “error free.” We attain the highest standards possible by offering the services of the best professional transcribers available and by continually focusing on quality.

If the customer finds any mistake or error on the part of TranscribeFiles.net transcribers, TranscribeFiles.net will gladly fix it in a timely fashion at no additional charge. In such a case, the customer is responsible for contacting TranscribeFiles.net and may be asked to describe the problem in writing and indicate in writing the location of the problem in the document.

16) Refusal of Service

TranscribeFiles.net reserves the right to refuse service to anyone for any legal reason at any time, at our sole discretion and without explanation.

17) Interruption of Service or Website Access, Scheduled Maintenance

TranscribeFiles.net is dedicated to providing service 24 hours a day, every day. If, however, circumstances beyond our control cause any delay, service interruption, or interruption of access to our website, TranscribeFiles.net cannot be held responsible or liable. In the event of any unforeseen problem or scheduled outage, we will make every effort to communicate with our customers in advance, if possible, or otherwise in a timely fashion.

18) Termination of Service

TranscribeFiles.net reserves the right to cancel or terminate any service to any customer at any time, at our sole discretion, for any legal reason and without explanation. Furthermore, TranscribeFiles.net may at any time, at its sole discretion and without notice, discontinue or terminate its business altogether, including operation of our website, performance of all services, and any other use of our business name. TranscribeFiles.net is not responsible or liable for damages of any kind resulting from such termination.

19) Contractual Obligations, Cancellation by the Customer

A contract between the customer and TranscribeFiles.net takes effect when TranscribeFiles.net receives payment for services.

An “order” is defined to be an official request that specific services should begin. TranscribeFiles.net provides an online order form that provides the ability to upload one or more audio/video files or other material. The customer is responsible for the accuracy of information provided on the order form and for uploading the files to be serviced. The customer assumes all responsibility for any problems, errors, issues, and delays as well as legal liability resulting from providing incorrect information on the order form or omitting to upload the required files.
The Statement of Work for a given order consists of the conjunction of (i) the order form information entered and confirmed by the customer, (ii) the descriptions of ordered services on the TranscribeFiles.net website, and (iii) the terms and conditions set forth on this page.

The customer may cancel an order at any time prior to TranscribeFiles.net completing the order. The order is completed when serviced materials are made available to the customer for download on the TranscribeFiles.net website. Refund of payment is at the sole discretion of TranscribeFiles.net and may be subject to fees including but not limited to bank and transfer fees, TranscribeFiles.net processing fees, payment processor fees, administration fees, editor costs, overhead costs, and a 15% cancellation penalty based on the standard price of the order.

TranscribeFiles.net prices and services are described on various pages of our website in addition to this Terms and Conditions page.
